An in-house counsel lawyer, or simply, “in-house counsel”, is a lawyer who works directly within a company or organization, rather than working in a law firm, that provides legal services by the hour to various clients. They are employed full-time or on a retainer basis by the company to provide legal advice and representation on a wide range of issues that affect the company's operations.
The role of an in-house counsel can vary depending on the size and complexity of the company, but their responsibilities typically include services such as: guidance to the company's contracts, regulatory compliance, and corporate governance, drafting, reviewing, and negotiating contracts, agreements, and other legal documents, and participating in corporate transactions.
As such, their role is crucial in helping companies navigate the complex legal landscape and mitigate legal risks in their day-to-day operations. However, many smaller businesses do not have the luxury of paying for their own in-house counsel and must request a lawyer’s services by the hour.
When creating Briones Business Law Consulting, P.C., we learned that our clients do not like being charged for talking to their attorney or having letters cost what seems an extraordinary fee. The attorney-client relationship was examined closely, keeping in mind the question: how to provide quality legal services to clients without having the billable hour be a barrier to our legal services?
Our solution was to do away with the “billable hour” by creating our Corporate Counsel on Demand program which provides most of the services that a typical in-house counsel would provide, but at a fraction of the cost through a monthly fee.
At Briones Business Law Consulting, P.C, we aim to be a new kind of law firm. We work directly with the owners of companies and their senior staff, meeting regularly and getting to know your business from top to bottom to become part of your team. Meetings, phone conversations, legal research, letter writing, employment matters, and general business legal work, similar to what an in-house counsel lawyer would do for your business, are included in that flat, monthly fee, allowing for yearly budgeting and planning. Preventative measures can be considered, catastrophes averted, and planning implemented.
